Subcontracting in cameroon: the red lines you must not cross

Article 51 of Law No. 2025/010 of July 15, 2025, governing the subcontracting regime in Cameroon, lists the serious violations related to operating conditions. These regulations aim to sanitize the sector and protect companies that strictly adhere to the rules.

Major infractions under Article 51

According to Article 51, a company is in breach if it carries out subcontracting activities under the following conditions:

  • Operating without registration: any company performing subcontracting activities without being previously registered or approved by the Subcontracting Authority (MINPMEESA) is in direct violation of the law.
  • Non-compliance with capacity thresholds: bidding for or executing works that exceed the technical or financial capacities declared and validated during registration.
  • Violation of nationality or registered office rules: in sectors where the law mandates priority for companies under Cameroonian law, failure to meet these nationality criteria constitutes a major offense.
  • Subcontracting prohibited services: engaging in activities in fields specifically excluded from the subcontracting regime or without the required sectoral authorizations (mining, energy, etc.).
  • Failure to update information: continuing to operate without notifying the administration of substantial changes within the company (change of management, modification of capital, loss of technical capacity).

Consequences of a formal notice

Article 51 provides for a regularization procedure before heavy sanctions are applied. However, if a company fails to remedy these violations after receiving a formal notice from the administration, it faces:

  1. Immediate suspension of its subcontracting activities nationwide.
  2. Withdrawal of approval or registration, making the company ineligible for future contracts.
  3. Ineligibility for support measures and incentives designed for SMEs.
